Terms & Conditions

Intel Corporation, (“Intel”, “our”, “us” or “we”) provides the Business Social Hub as a content and business news sharing service (the “Service”) accessible via the Business Social Hub website at www.4biz.intel.com (the “Site”) and via mobile application (the “Application”) . (Use of the term Service includes all means of accessing and using the Service, including the Site and the Application). By visiting and using the Service, you acknowledge and agree to both the Terms provided below in addition to the Terms of Use for the Intel Websites. In case of conflict between the Intel Websites Terms of Use and the Terms for the Service, the Intel Websites Terms of Use control.

You acknowledge and agree that, by accessing or using the Service or by posting any Member Content (as defined below) through the Service, you are indicating that you have read, understand, and agree to be bound by these terms, whether or not you have registered via the Application. If you do not agree to these terms, then you have no right to access or use the Service or Service Content (as defined below).  

If you accept or agree to these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to these Terms and, in such event, “you” and “your” will refer and apply to that company or other legal entity

Key Terms related to Content

“Content” means text, graphics, images, music, software, audio, video, information, or other materials.

“Intel Content” means all Content that Intel makes available through the Service, including any Content licensed from a third party, but excluding Member Content.

“Member” means a person that completes Intel’s account registration process for the Service as described under “Account Registration” below.

“Member Content” means all Content that a Member posts, uploads, publishes, submits, or transmits to be made available through the Service.

“Service Content” means Member Content and Intel Content.

Certain areas of the Service (and your access to or use of certain areas of the Service or Service Content) may have different or additional terms and conditions posted or may require you to agree with and accept additional terms and conditions. 

 

Modification

Intel reserves the right, at its sole discretion, to modify, discontinue, or terminate the Service ,or to modify these Terms, at any time and without prior notice.  If we modify these Terms, we will post the modification to the Service or provide you individually with notice of the modification.  We will also update the “Last Updated Date” at the top of these Terms.  After we have posted a modification on the Service or have provided you individually with notice of a modification, we will provide you notice and an opportunity to opt out of the Service.  If the modified Terms are not acceptable to you, your only recourse is to cease using the Service.

Eligibility

The Service  is intended solely for persons who are 18 years of age or older.  Any access to or use of the Service by anyone under age 18 is expressly prohibited.  By accessing or using the Service, you represent and warrant that you are 18 years of age or older.

 

Personal Information

Intel is committed to respecting your privacy. In the course of registering for and using the Service, we may ask you to provide us with, or grant us access to, certain personally identifiable information (“Personal Information”). This information will be used for the purpose of building your community profile, personalizing the capabilities, features, and functionality of the Service, providing you with the most relevant content, and communicating with you about Service offerings and participation options. All Members may review, update, correct or delete Personal Information in their profile by making edits via the Service or by contacting us.  If you completely delete all such information, then your Account may become deactivated.  If you would like us to delete your Account in our Service, please contact us at intel4biz@Intel.com

 

Account Registration

In order to access certain features of the Service, and to share any content via the Service, you must register to create an account (“Account”) and become a Member.  You can register to become a Member by establishing an account (1) with a valid email address and establishing a personal password via the Service or (2) by authentication with certain third party social networking sites (including, but not limited to, Facebook and Twitter) via the Service.  All Members will be required to connect with at least one third party social networking site for the purpose of sharing Service Content. 

During registration, only your name and email are required to establish your Account. All other information is optional, but recommended to better build your program profile and personalize your Service options.

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.  Intel reserves the right to suspend or terminate your Account if any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete. 

You are responsible for safeguarding your password.  You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your Account, whether or not you have authorized such activities or actions.  You will immediately notify Intel of any unauthorized use of your Account.

 

Privacy and use of Third Party Services

As part of the functionality of the Service, you may link your Account with online accounts and other  third party services and websites, including, but not limited to, social networking sites and third party websites (collectively, “Third Party Service(s)”) by providing your Third Party Service login information or website URL to Intel via the Service. By submitting Third Party Service login information to Intel, you are granting Intel permission to access and use (i) that login information or URL to authenticate your identity; (ii) anonymous and aggregated analytics information (i.e. it will not be attributed to you in a way that would allow Intel to identify you) pertaining to the activity on the Third Party Service relating to Service Content shared through the Service; (iii) anonymous and aggregated analytics information from the Third Party Services including but not limited to the number of followers, likes, shares, comments, as it relates to the Service Content (e.g. the number and type of activity of individuals who interact with the Service Content that you post via the Service to the Third Party Site), which are used to measure the use and social impact of the Service and to generate Service features that include, but are not limited reward systems, dashboards, contests, and for Intel to evaluate the success of the Service.

When accessing the Service via your Third Party Service, the Third Party Service may provide you with a notice regarding its own privacy policies and data collection practices (the “Third Party Service Privacy Notice”) and request permission to access or collect certain personal information from you. Intel does not control the Third Party Service site or the terms of the Third Party Service Privacy Notice, and Intel does not necessarily collect the personal information requested in the Third Party Service Privacy Notice. Intel collects personal information only as outlined in these Terms, the Intel Websites Terms of Use, and in accordance with Intel’s own Privacy Notice. For questions regarding the personal information being requested by the Third Party Service in its Third Party Service Privacy Notice, please refer to the Third Party Service’s policies or contact the Third Party Service directly.

By linking the Service to your Third Party Service, you represent that you are entitled to submit and grant access to such information to Intel for use for the purposes described in these Terms, without violating the Third Party Service’s terms and conditions which govern your use of the Third Party Service, and without any obligation by Intel to pay any fees or other limitations on usage that may be imposed by operators of the Third Party Service.

Ownership

The Service (including the Site and Application) and Service Content are protected by copyright, trademark, and other laws of the United States and foreign countries.  Except as expressly provided in these Terms, Intel and its licensors exclusively own all right, title, and interest in and to the Service and Service Content, including all associated intellectual property rights.  You will not remove, alter, or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Service or Service Content.

Links to Other Sites

The Service and Service Content may contain links to other websites, resources, content or information (“Third Party Materials”).  If you click on another third party link, you will be directed to that third party’s website.  The fact that we link to a website is not an endorsement, authorization, or representation of our affiliation with that third party, nor is it an endorsement of their privacy or information security policies or practices.  We do not exercise control over third party websites.  These other websites may place their own cookies or other files on your computer, collect data or solicit personal information from you.  Other sites follow different rules regarding the use or disclosure of the personal information you submit to them.  You acknowledge sole responsibility for and assume all risk arising from your access to or use of any such Third Party Materials and Intel disclaims any liability that you may incur arising from your access to or use of such Third Party Materials or Member Content via the Service. We encourage you to read the privacy policies or statements of the other websites you visit. 

Dynamic Signal Content and Member Content License

Subject to your compliance with the terms and conditions of these Terms, Intel grants you a limited, non-exclusive, non-transferable license, without the right to sublicense, to reproduce, distribute copies of, and publicly display the Service Content solely for the purpose of (1) viewing Service Content via the Service; (2) posting Service Content to the Service; (3) sharing the Service Content through a Third Party Service, using your Third Party Service account; and (3) downloading and printing any Service Content solely for your personal and non-commercial purposes.  All other rights and licenses in the Service Content not expressly granted to you in these Terms are hereby reserved by Intel.

Member Content

We may, in our sole discretion, permit Members to post, upload, publish, submit, or transmit Member Content.  By making available your Member Content through the Service, you hereby grant to Intel a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license, with the right to sublicense (including to other Members), to reproduce, prepare derivative works based on, distribute copies of, publicly display, publicly perform, transmit, stream, broadcast, access, view, and otherwise exploit your Member Content only on, through, or by means of the Service.  Intel does not claim any ownership rights in any such Member Content and nothing in these Terms will be deemed to restrict any rights that you may have to use and exploit any such Member Content. 

You acknowledge and agree that you are solely responsible for all Member Content that you make available through the Service and Application.  Accordingly, you represent and warrant that: (i) you either are the sole and exclusive owner of all Member Content that you make available through the Service and Application or you have all rights, licenses, consents, and releases that are necessary to grant to Intel the rights in such Member Content, as contemplated under these Terms; and (ii) neither the Member Content nor your posting, uploading, publication, submission, or transmittal of the Member Content or Intel’s use of the Member Content (or any portion thereof) on, through or by means of the Service will infringe, misappropriate, or violate a third party’s patent, copyright, trademark, trade secret, moral rights, or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

All Member Content will be subject to review and approval by Intel moderators prior to publishing to the Service or Application. Intel reserves the right to remove any Member Content as at any time, with or without cause.  All Service Content will be reviewed by Intel moderators for inappropriate language, photos, images, and behavior that could include but not be limited to the following : (i) Generally unacceptable language/comments/behaviors; (ii) advertisement and self promotion; (iii) discrimination; (iv) harassment or flaming; (v) pornographic, sexual innuendo or sexually explicit material; (vi) violence or hatred; (vii) religion or racism; (viii) libelous statements; (ix) excessive posting (flooding), use of capitals, emoticons; (x) criminal or immoral activity; (xi) copyright and trademark violations or possible infringements; (xii) posting, publishing, or uploading to the Service or Application any pictures of children under the age of 18.

 

DMCA Copyright Infringement Claim

Pursuant to Title 17, United States Code, Section 512(c)(2), notifications of claimed copyright infringement should be sent to Service Provider's Designated Agent. INQUIRIES NOT COMPLIANT WITH THE PROCEDURE OUTLINED MAY NOT RECEIVE A RESPONSE.

Intel may, in appropriate circumstances, terminate an account holder or subscriber to the Site or any Intel Web Site if he or she is a repeat infringer. If you believe that an account holder or subscriber is a repeat infringer, please follow the instructions above to contact Intel's DMCA agent and provide information sufficient for us to verify that the account holder or subscriber is a repeat infringer.

 

Feedback

We welcome and encourage you to provide feedback, comments, and suggestions for improvements to the Service (“Feedback”).  You may submit Feedback by emailing us at Intel4Biz@intel.com.  By providing Feedback to Intel, you acknowledge and agree that Intel will be free to use, disclose, reproduce, license, or otherwise distribute or exploit the Feedback in its sole discretion without any obligations or restrictions of any kind, including without limitation, intellectual property rights or licensing obligations, At Intel’s request and expense, you will execute documents and take such further acts as Intel may reasonably request to allow Intel to use the Feedback as set forth in this paragraph.

 

Termination and Account Cancellation

If you breach any of these Terms, Intel will have the right to suspend or disable your Account or terminate these Terms, at its sole discretion and without prior notice to you. Intel reserves the right to revoke your access to and use of the Service (including the Site and Application) and Service Content at any time, with or without cause.  You may cancel your Account at any time by sending an email to Intel4Biz@intel.com

THESERVICE (INCLUDING THE SITE AND APPLICATION) AND SERVICE CONTENT ARE PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.  WITHOUT LIMITING THE FOREGOING, INTEL EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. INTEL MAKES NO WARRANTY THAT THE SERVICE, SITE, APPLICATION, OR SERVICE CONTENT WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS.  INTEL MAKES NO WARRANTY REGARDING THE QUALITY OF ANY PRODUCTS, SERVICES, OR CONTENT OBTAINED THROUGH THE SERVICE OR APPLICATION OR THE ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY SERVICE CONTENT OBTAINED THROUGH THE SERVICE OR APPLICATION.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM INTEL, DYNAMIC SIGNAL, OR THROUGH THE SERVICE, SITE, APPLICATION, OR SERVICE CONTENT, WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

YOU ARE SOLELY RESPONSIBLE FOR ALL OF YOUR COMMUNICATIONS AND INTERACTIONS WITH OTHER USERS OF THE SERVICE AND WITH OTHER PERSONS WITH WHOM YOU COMMUNICATE OR INTERACT AS A RESULT OF YOUR USE OF THESERVICE.  YOU UNDERSTAND THAT INTEL DOES NOT SCREEN OR INQUIRE INTO THE BACKGROUND OF ANY USERS OF THE SERVICE, NOR DOES INTEL MAKE ANY ATTEMPT TO VERIFY THE STATEMENTS OF USERS OF THE SERVICE.  INTEL MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OF USERS OF THE SERVICE OR THEIR COMPATIBILITY WITH ANY CURRENT OR FUTURE USERS OF THE SERVICE.  YOU AGREE TO TAKE REASONABLE PRECAUTIONS IN ALL COMMUNICATIONS AND INTERACTIONS WITH OTHER USERS OF THE SERVICE AND WITH OTHER PERSONS WITH WHOM YOU COMMUNICATE OR INTERACT AS A RESULT OF YOUR USE OF THE SERVICE, PARTICULARLY IF YOU DECIDE TO MEET OFFLINE OR IN PERSON.

Indemnity

You agree to defend, indemnify, and hold Intel, its subsidiaries and affiliates, and their officers, directors, employees and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service, Site, Application, Service Content, or your violation of these Terms.

Limitation of Liability

You acknowledge and agree that, to the maximum extent permitted by law, the entire risk arising out of your access to and use of the Service, Site, Application, and Service Content remains with you.  Neither Intel nor any other party involved in creating, producing, or delivering the Service, Site, Application, or Service Content will be liable for any incidental, special, exemplary, or consequential damages, including lost profits, loss of data, or loss of goodwill, service interruption, computer damage, or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress arising out of or in connection with these terms or from the use of or inability to use the Service, Site, Application, or Service Content, or from any communications, interactions or meetings with other users of the Service or other persons with whom you communicate or interact as a result of your use of the Service, whether based on warranty, contract, tort (including negligence), product liability or any other legal theory, and whether or not Intel has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose.

In no event will Intel’s aggregate liability arising out of or in connection with these terms or from the use of or inability to use the Service, Site, Application, or Service Content exceed one hundred dollars ($100). The limitations of damages set forth above are fundamental elements of the basis of the bargain between Intel and you.  Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

General Prohibitions

You agree not to do any of the following:

·      Post, upload, publish, submit or transmit any Content to the Service that: (i) infringes, misappropriates. or violates a third party’s rights, including patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (ii) violates, or encourages any conduct that would violate, any applicable law or regulation; (iii) would give rise to civil liability; (iv) is fraudulent, false, misleading. or deceptive; (v) is defamatory, obscene, pornographic, vulgar. or offensive; (vi) promotes discrimination, bigotry, racism, hatred, harassment. or harm against any individual or group; (vii) is violent or threatening or promotes violence or actions that are threatening to any other person; or (viii) promotes illegal or harmful activities or substances; or (ix) includes pictures of children under the age of 18.

·      Use, display, mirror, or frame the Service or any individual element within the Service, Intel’s name, any Intel trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without Intel’s express written consent;

·      Access, tamper with, or use non-public areas of the Service, Intel computer systems, or the technical delivery systems of Intel’s providers;

·      Attempt to probe, scan, or test the vulnerability of any Intel system or network or breach any security or authentication measures;

·      Avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by Intel or any of Intel’s providers or any other third party (including another user) to protect the Service or Service Content;

·      Attempt to access or search the Service or Service Content or download Content or Service Content from the Service or Application through the use of any engine, software, tool, agent, device or mechanism (including spiders, robots, crawlers, data mining tools or the like) other than the software and/or search agents provided by Intel or other generally available third party web browsers;

·      Use the Service to send or any unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters or other form of solicitation;

·      Use any meta tags or other hidden text or metadata utilizing a Intel trademark, logo URL, or product name without Intel’s express written consent;

·      Use the Service or Site Content for any commercial purpose or the benefit of any third party or in any manner not permitted by these Terms;

Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Service or Site Content  to send altered, deceptive, or false source-identifying information;

·      Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Service or Site Content;

·      Interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Site or Application;

·      Collect or store any personally identifiable information from the Service from other users of the Service without their express permission;

·      Impersonate or misrepresent your affiliation with any person or entity;

·      Violate any applicable law or regulation; or

·      Encourage or enable any other individual to do any of the foregoing.

Proprietary Rights Notices

All trademarks, service marks, logos, trade names, and any other proprietary designations of Intel used herein are trademarks or registered trademarks of Intel in the U.S. and/or other countries. Any other trademarks, service marks, logos, trade names, and any other proprietary designations may be claimed as the property of others.

Controlling Law and Jurisdiction

These Terms and any action related thereto will be governed by the laws of the State of Delaware without regard to its conflict of law’s provisions.  The exclusive jurisdiction and venue of any action with respect to the subject matter of these Terms will be the state and federal courts located in Delaware, and each of the parties hereto waives any objection to jurisdiction and venue in such courts.

Entire Agreement

These Terms constitute the entire and exclusive understanding and agreement between Intel and you regarding the Service and Site Content. Except for the Intel Websites Terms of Use, these Terms supersede and replace any and all prior oral or written understandings or agreements between Intel and you regarding the Service and Site Content.

Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Intel’s prior written consent.  Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect.  Intel may assign or transfer these Terms, at its sole discretion, without restriction.  Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

Notices

Any notices or other communications permitted or required hereunder, including those regarding modifications to these Terms, will be in writing and given by Intel (i) via email (in each case to the address that you provide) or (ii) by posting to the Service.  For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.

General

The failure of Intel to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision.  The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Intel.  Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.  If for any reason a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.
